These Terms of Service ("Terms") form a binding agreement between you and Corelink Networks & IT Solutions Limited, a company incorporated in the Federal Republic of Nigeria, which develops and operates CoreAccess ("CoreAccess", "we", "us"). They govern your access to and use of the CoreAccess platform and related services (the "Service"). By creating an account or using the Service you agree to these Terms.
1. The Service
CoreAccess provides a multi-tenant software platform for managing digital identities, memberships, attendance, credentials and access entitlements across one or more locations.
2. Accounts
- You must be at least 18 years old and able to enter binding contracts.
- You are responsible for the accuracy of your account information.
- You are responsible for safeguarding your password and all activity under your account.
- You must notify us immediately at support@getcoreaccess.com of any unauthorized use.
3. Organization data
If you use CoreAccess on behalf of an organization, you represent that you are authorized to bind that organization. The organization is the controller of member, staff and visitor data uploaded to CoreAccess and is responsible for obtaining all required consents and notices.
4. Subscriptions and billing
- CoreAccess is offered on a per-active-member subscription basis. Staff and visitors are billed at zero.
- Tier pricing automatically applies based on active-member count, as published on our Pricing page.
- Fees are charged in advance for each billing period and are non-refundable except as set out in the Refund Policy.
- Failure to pay may result in suspension or termination of the Service.
5. Acceptable use
Your use of the Service is also governed by the Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the AUP is a material breach of these Terms.
6. Intellectual property
CoreAccess and its licensors retain all right, title and interest in and to the Service, including all software, designs and trademarks. You retain ownership of all data you upload and grant CoreAccess a limited license to host and process that data solely to deliver the Service.
7. Confidentiality & security
Each party will protect the other's confidential information using at least the same degree of care it uses for its own confidential information of like kind. CoreAccess maintains administrative, technical and physical safeguards designed to protect Customer Data.
8. Service availability
We aim for a monthly uptime of 99.5% measured at the application layer, excluding scheduled maintenance announced in advance and events outside our reasonable control. The current status of the Service is published at /status.
9. Suspension & termination
- You may cancel at any time from your billing settings.
- We may suspend or terminate access for unpaid invoices, security risks, or violations of these Terms or the AUP.
- Upon termination, you may export your data for 30 days, after which it is permanently deleted.
10. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, CoreAccess disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, CoreAccess' aggregate liability under these Terms will not exceed the fees paid by you for the Service in the 12 months preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, consequential or punitive damages.
12. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts of Lagos State, Nigeria, unless required otherwise by mandatory local law.
13. Changes
We may update these Terms from time to time. Material changes will be announced at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
