These Payment and Settlement Terms ("Payment Terms") form part of the CoreAccess Terms of Service and apply to every organization that collects membership payments through CoreAccess. CoreAccess is operated by Corelink Networks & IT Solutions Limited ("Corelink", "we", "us"). If there is a conflict between these Payment Terms and the Terms of Service on a payment matter, these Payment Terms apply.
1. Scope and parties
Your organization is the merchant of record for its own membership sales. Members contract with your organization for access to your facilities and services. CoreAccess provides the software that issues plans, records subscriptions, collects payments through a licensed payment processor, and settles funds to your verified settlement account. CoreAccess is not a bank, is not a deposit-taking institution, and does not hold customer funds.
2. Business verification (KYB)
Before your organization can create or publish a paid plan, or receive payouts, you must complete business verification and be approved. Verification requires accurate business details, ownership and representative information, identity verification, supporting documents, and a settlement bank account in the organization's name or the name of its verified representative.
- Approval may be withdrawn, or payments paused, if information becomes inaccurate, documents expire, or we are required to re-verify you.
- Changing your settlement bank account after approval triggers re-verification. Payment collection and payouts stay paused until the new account is reviewed and approved.
- Verification documents have validity periods. We notify you before a document expires and when it lapses; expired documents can block payouts until replaced.
3. Membership payments and currency
All amounts on CoreAccess are denominated in Nigerian Naira (NGN) unless we state otherwise in writing. Every membership plan must carry a price greater than zero; free membership plans cannot be created, published, or sold on the platform. You set your own plan prices, durations and renewal terms, and you are responsible for their accuracy and for honouring them.
4. Platform fee
CoreAccess charges a platform fee that is paid by the member at the point of subscription and shown as part of a single total at checkout. The fee is a flat amount per member, based on your organization's number of active members, applied in graduated bands:
- Under 10 active members — no platform fee. Your organization is on the free tier.
- 10 to 99 active members — ₦999 per member.
- 100 to 499 active members — ₦699 per member.
- 500 or more active members — ₦499 per member.
Bands are evaluated at the moment a subscription is created or renewed, not on a fixed monthly date: once your active member count crosses a threshold, the new band applies to the next subscription immediately. The same applies when your organization leaves the free tier. A member is charged the platform fee at most once in any rolling 30-day period, regardless of how many subscription actions occur in that window. Where a subscription covers a partial or irregular period, the fee is prorated by day and rounded up to the nearest whole day.
5. Offline and cash payments
You may record payments taken offline (cash, bank transfer, POS at your premises). In that case the member does not pay the platform fee through CoreAccess, and the fee becomes an amount owed by your organization. Owed fees accumulate and are settled in your monthly statement, either by deduction from your settlement balance or by direct payment where your balance is insufficient.
6. Processing fees
Online payments are handled by a licensed third-party payment processor, which charges its own per-transaction fees. These processing fees are deducted from the transaction before funds are settled to you. Processing fees are set by the processor, may change, and are not retained by CoreAccess.
7. Settlement and payouts
Once verification is approved, we create a payout account for your organization with the payment processor and route your share of each online payment to it. Payout timing follows the processor's settlement cycle for your account; CoreAccess does not control that timing and does not guarantee same-day settlement.
- Payouts go only to the verified settlement account on file.
- Payouts are paused while your verification is pending, changes are requested, your account is suspended, or your bank details are being re-verified.
- We may withhold or delay a payout where we reasonably suspect fraud, a dispute, a compliance obligation, or an error in the underlying transactions.
8. Statements and reconciliation
We produce a monthly statement for your organization summarising member payments, platform fees collected online, platform fees owed on offline payments, adjustments, and the net amount settled or payable. Please review each statement promptly. If you believe a statement is wrong, notify us within 30 days of its issue date with the relevant details; after that period the statement is treated as accepted, except where the law provides otherwise.
9. Refunds and chargebacks
Refunds to your members are your responsibility and are governed by your own published refund terms and the CoreAccess Refund Policy. You are liable for the full value of any chargeback, reversal, or dispute raised against a payment collected for your organization, together with any fee the processor applies. We may recover those amounts from your settlement balance, from future payouts, or by invoice. Platform fees already earned are generally non-refundable, except where a payment is reversed in full for our error.
10. Taxes
You are solely responsible for determining, collecting, reporting and remitting any taxes arising from your membership sales, including VAT where applicable. Amounts stated on CoreAccess are exclusive of taxes unless expressly marked otherwise.
11. Non-payment and suspension
If your organization has an outstanding balance — for example unpaid platform fees on offline payments, or an unrecovered chargeback — we may issue a reminder, restrict paid features, suspend payment collection, or suspend the organization's account until the balance is cleared. We will give reasonable notice where circumstances allow.
12. Prohibited activities
Payments may not be used for any activity prohibited by our Acceptable Use Policy or by applicable law, including money laundering, terrorism financing, sanctioned dealings, transaction laundering for third parties, or collecting payments for a business other than the one you verified. Breach may result in immediate suspension of payments and reporting to the relevant authorities.
13. Changes to these terms
We may update these Payment Terms as our pricing, processors, or regulatory obligations change. Material changes to fees will be notified in advance through the platform or by email. Continued use of payment features after a change takes effect constitutes acceptance.
